1.  Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and EFC (I) Limited (“EFC”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 1956 and governed by the Companies Act, 2013, with its registered office at Pune, Maharashtra. EFC is a listed company and operates as a real estate-as-a-service (REaaS) enterprise through its subsidiaries, associates, and group companies (together, the “EFC Group” or “Group”).

These Terms govern your access to and use of the website https://efclimited.in and any other websites, microsites, mobile applications, portals, or digital platforms owned, operated, or managed by EFC or any EFC Group entity (collectively, “Platforms”).

BY ACCESSING, BROWSING, OR USING ANY PLATFORM IN ANY MANNER WHATSOEVER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND OUR PRIVACY POLICY (WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL ACCESS TO AND USE OF THE PLATFORMS.

These Terms apply equally to all Platforms operated by EFC Group entities. Where an EFC Group entity publishes entity-specific Terms and conditions for its own platform or service, those entity-specific Terms shall apply to interactions on that platform and, to the extent of any inconsistency with these Terms, shall prevail.

2.  User Eligibility

Access to and use of the Platforms is available only to persons who satisfy all of the following conditions:

  • You are at least 18 years of age or have attained the age of majority under the laws of the jurisdiction in which you are located;
  • You are competent to enter into a binding contract within the meaning of the Indian Contract Act, 1872 — that is, you are of sound mind, not disqualified by law from contracting, and are not an undischarged insolvent; and
  • You are accessing the Platforms for lawful purposes only.

If you access or use a platform on behalf of a company, partnership, trust, limited liability partnership, or any other legal entity, you represent and warrant that you are duly authorised to bind such entity to these Terms, and references to “you” in these Terms shall include that entity.

3.  Platform Access and Permitted Use

3.1  Permitted Use

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Platforms for the following purposes only:

  • Browsing publicly available information about EFC Group services, centre locations, and business offerings
  • Submitting enquiries, contact forms, or booking or tour requests through the Platforms
  • Accessing investor relations disclosures, annual reports, financial statements, corporate governance documents, and statutory filings made available pursuant to applicable securities laws
  • Applying for employment and other engagement opportunities through the careers section
  • Downloading materials that are expressly made available to the public on the Platforms
3.2  Prohibited Conduct

You must not use any platform, or any content or functionality made available through it, for any purpose or in any manner that:

  • Violates any applicable local, national, or international law, regulation, or regulatory guidance, including securities laws, privacy laws, intellectual property laws, and anti-money laundering legislation
  • Is fraudulent, deceptive, misleading, defamatory, abusive, obscene, threatening, harassing, or otherwise objectionable
  • Involves the impersonation of any person, organisation, or entity, or the misrepresentation of your identity or affiliation
  • Involves the introduction, upload, transmission, or distribution of viruses, worms, trojans, ransomware, spyware, adware, or any other malicious code or software
  • Attempts to probe, scan, test, circumvent, or breach the security of any Platform, server, network, database, or system connected therewith, or to gain unauthorised access to any data, account, or resource
  • Uses any automated tool, bot, spider, scraper, crawler, data extraction tool, or similar mechanism to access, monitor, copy, or extract content from any Platform without our prior written consent
  • Reverse engineers, decompiles, disassembles, or otherwise attempts to derive the source code, underlying ideas, or structure of any platform or any software embedded therein
  • Reproduces, duplicates, copies, sells, resells, or exploits any portion of the Platforms or any content thereon for any commercial purpose without our prior written authorisation
  • Interferes with, disrupts, degrades, overloads, or impairs the performance, stability, or availability of any platform or the servers and networks connected thereto
  • Distributes or transmits unsolicited bulk email, promotional messages, or spam through or in connection with the Platforms
  • Facilitates or encourages any third party to engage in any of the prohibited conduct described above
3.3  Account Registration

Certain features or sections of the Platforms may require you to create a registered account. In registering an account, you agree to:

  • Provide accurate, current, complete, and truthful information in all registration fields
  • Maintain and promptly update your account information to ensure it remains accurate and complete at all times
  • Keep your login credentials, password, and access tokens strictly confidential and not share them with any third party
  • Assume full responsibility for all activities and transactions that occur under your account, whether or not authorised by you
  • Notify EFC immediately at the contact details in Clause 18 upon becoming aware of any actual or suspected unauthorised use of your account or any other security breach

EFC reserves the right to suspend or terminate any account without notice in the event of a breach of these Terms or where we reasonably suspect misuse.

4.  Intellectual Property

4.1  Ownership

All content on the Platforms, including but not limited to text, graphics, logos, images, icons, audio and video clips, data compilations, presentations, user interfaces, software, source code, and underlying technology (collectively, “Content”), is the exclusive property of EFC (I) Limited or its licensors and is protected under applicable intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, and the Patents Act, 1970, as well as equivalent laws in other jurisdictions.

The trading names and marks “EFC”, “EFC Limited”, “EFC (I) Limited”, “EFC India”, “Sprint India”, “Ek Design”, “Whitehills Interior”, “Emberstone SM REIT”, and all associated logos, trademarks, service marks, and trade dress are the registered or unregistered proprietary marks of the EFC Group and all its subsidiaries. You are not permitted to use any such marks without our prior written consent.

4.2  Restricted Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

  • Access and use the Platforms for the permitted purposes described in Clause 3.1; and
  • Download or print individual pages of publicly available content from the Platforms for your own personal, non-commercial reference, provided that you retain all copyright, trade mark, and proprietary notices.

This licence does not confer on you any ownership interest in, or any other right, title, or licence with respect to, any content or intellectual property of the EFC Group and its subsidiaries, whether by implication, estoppel, or otherwise.

4.3  Restricted Acts

Except as expressly permitted under this Clause 4, you must not:

  • Reproduce, copy, republish, upload, post, publicly display, encode, translate, transmit, or distribute any Content in any medium or by any means
  • Modify, create derivative works from, or adapt any content
  • Use any content for commercial purposes or for any public display without our prior written consent
  • Remove, alter, or obscure any copyright, trade mark, or other proprietary notice from any content

5.  Disclaimer of Warranties

THE PLATFORMS AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EFC AND THE EFC GROUP EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, CURRENCY, OR RELIABILITY OF ANY CONTENT ON THE PLATFORMS;
  • WARRANTIES THAT THE PLATFORMS WILL OPERATE WITHOUT INTERRUPTION OR ERROR OR THAT THEY WILL BE FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; AND
  • WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORMS.

Without limiting the foregoing:

  • Information published on the Platforms regarding services, centre availability, pricing, seat availability, and investment-related disclosures is provided for general informational purposes only and may not reflect the most current position. Users should verify all information independently before relying on it.
  • Nothing on the Platforms constitutes financial, investment, legal, tax, or any other professional advice. Users must obtain independent professional advice before making any financial, investment, or business decision.
  • Any forward-looking statements, projections, or estimates contained on the Platforms are based on current expectations and assumptions and are subject to risks and uncertainties. Actual results may differ materially.

6.  Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EFC, ITS SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND CONTRACTORS (COLLECTIVELY, “EFC PARTIES”) SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY NATURE;
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, CONTRACTS, ANTICIPATED SAVINGS, OR GOODWILL;
  • LOSS, CORRUPTION, OR UNAUTHORISED ACCESS TO DATA OR INFORMATION;
  • BUSINESS INTERRUPTION OR LOSS OF USE; OR
  • ANY OTHER ECONOMIC OR INTANGIBLE LOSS,

IN EACH CASE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, INABILITY TO USE, OR RELIANCE ON ANY PLATFORM OR ANY CONTENT, EVEN IF ANY EFC PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH CLAIM IS BASED.

In no event shall the aggregate liability of the EFC Parties to you for all claims arising out of or in connection with these Terms or the Platforms exceed INR 10,000 (Indian Rupees Ten Thousand Only), to the fullest extent permitted by law.

7.  Indemnification

You agree to indemnify, defend, and hold harmless EFC (I) Limited, its group entities, and their respective directors, officers, employees, agents, successors, and permitted assigns from and against any and all third-party claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

  • Your breach of any provision of these Terms or any document incorporated by reference;
  • Your violation of any applicable law, regulation, or order of a competent authority;
  • Your infringement of any intellectual property right, privacy right, or other right of any third party in connection with your use of the Platforms;
  • Any content, material, data, or information submitted, uploaded, or transmitted by you through any platform; or
  • Any fraud, wilful misconduct, or gross negligence on your part.

8.  Third-Party Links and Services

The Platforms may contain hyperlinks, banners, or embedded content that direct you to third-party websites, applications, Platforms, or services, including social media channels, depository participant portals, SEBI SCORES, and business partner platforms. Such links are provided solely for your convenience and information.

EFC does not endorse, control, verify, or assume any responsibility for the content, accuracy, privacy practices, data security, availability, or reliability of any third-party site or service. Your access to and use of any third-party site is at your sole risk and is governed by the Terms and conditions and privacy policy of that third-party site. We encourage you to review those Terms and policies before providing any information to or transacting on third-party sites.

9.  Investor Relations and Regulatory Disclosures

EFC (I) Limited’s equity shares are listed on BSE Limited and National Stock Exchange of India Limited. Information provided in the Investor Relations section of our platforms is published in compliance with our obligations under applicable securities laws and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as well as the Companies Act, 2013 and is provided solely for regulatory compliance and general informational purposes.

Nothing published in the Investor Relations section of the platforms constitutes or should be construed as:

  • An offer, solicitation, or invitation to invest in or deal in EFC’s securities;
  • A prospectus or offer document within the meaning of applicable securities laws;
  • A financial promotion, investment recommendation, or investment advice of any kind; or
  • A guarantee of future performance.

Past financial performance and historical data published on the platforms are not reliable indicators of future results. Users who rely on investor relations information for investment or trading decisions do so entirely at their own risk and should seek independent investment advice.

Any person in possession of material, non-public information concerning EFC obtained through interactions with EFC or its representatives must not use such information for trading in EFC’s securities. Dealing in securities while in possession of unpublished price sensitive information is a criminal offence under applicable securities laws.

10.  Force Majeure

EFC shall not be in breach of these Terms, nor liable for any delay in performing or failure to perform any obligation under these Terms, to the extent that such delay or failure results directly or indirectly from circumstances beyond EFC’s reasonable control (“Force Majeure Event”), including but not limited to:

  • Acts of God, natural disasters, earthquakes, floods, or extreme weather events
  • Epidemic, pandemic, or public health emergency
  • Acts of war, terrorism, civil unrest, or insurrection
  • Acts or omissions of governmental or regulatory authorities, including changes in law or regulation
  • Power failures, failures of internet or telecommunications infrastructure, or cyberattacks
  • Industrial disputes, strikes, or lockouts not involving EFC’s own workforce

EFC will endeavour to notify you promptly of any Force Majeure Event and will use reasonable efforts to mitigate its impact and resume normal operations as soon as practicable.

11.  Suspension and Termination of Access

EFC reserves the right, in its sole discretion and without prior notice or liability to you, to suspend, restrict, modify, or permanently terminate your access to all or any part of any Platform if:

  • You breach any provision of these Terms or any other policy or agreement applicable to your use of the platforms;
  • EFC is required to do so by applicable law, court order, or the direction of a competent regulatory authority;
  • Your conduct reasonably appears to EFC to constitute fraud, misrepresentation, or activity harmful to EFC, any Group Entity, or any third party; or
  • EFC decides, at its sole discretion, to discontinue, restructure, or withdraw all or any part of any platform.

Upon termination of your access:

  • All rights and licences granted to you under these Terms shall immediately cease;
  • You must immediately stop all use of the affected platforms; and
  • Any provisions of these Terms that by their nature should survive termination shall continue to apply, including Clauses 4, 5, 6, 7, 14, 15, and 16.

12.  Platform Availability and Modifications

EFC does not guarantee continuous, uninterrupted, or error-free availability of the platforms. We reserve the right to modify, update, add to, remove from, suspend, or permanently discontinue all or any part of any Platform, including its features, functionality, and content, at any time and without prior notice or liability. Planned or emergency maintenance may result in temporary unavailability. EFC shall not be liable for any loss or inconvenience arising from any such modification, suspension, or discontinuation.

13.  User Submissions and Content

Where the Platforms permit you to submit, upload, post, or transmit content, materials, or communications (“User Content”), you represent and warrant that:

  • You own, or have obtained all necessary rights and licences to submit, the User Content;
  • The User Content does not infringe the intellectual property, privacy, or other rights of any third party;
  • The User Content is not defamatory, obscene, fraudulent, threatening, or in violation of any applicable law; and
  • The User Content does not contain any virus, malware, or other harmful component.

By submitting User Content, you grant EFC a non-exclusive, royalty-free, worldwide, irrevocable, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media and through any channels, to the extent necessary for the operation, promotion, and improvement of the Platforms and EFC Group services.

EFC does not routinely monitor or review User Content but reserves the right to remove or edit any User Content at any time without notice if it reasonably determines that such content is in breach of these Terms or otherwise objectionable.

14.  Governing Law

These Terms are governed by and shall be construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

15.  Dispute Resolution

15.1  Amicable Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platforms, or the relationship between you and EFC (“Dispute”), the parties shall first attempt to resolve the Dispute amicably through good-faith written negotiations for a period of 30 (thirty) days commencing on the date one party delivers written notice of the Dispute to the other party.

15.2  Arbitration

If the Dispute is not resolved through the negotiation process described above within the 30-day period, the Dispute shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time). The following shall apply to such arbitration:

  • The arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties. Failing agreement within 15 (fifteen) days of the arbitration notice, the arbitrator shall be appointed in accordance with the applicable provisions of the Arbitration and Conciliation Act, 1996.
  • The seat and venue of arbitration shall be Pune, Maharashtra, India.
  • The language of the arbitral proceedings shall be English.
  • The award of the arbitral tribunal shall be final and binding on the parties and may be enforced by any court of competent jurisdiction.
  • Each party shall bear its own costs of arbitration unless the arbitral tribunal orders otherwise.
15.3  Interim Relief

Notwithstanding the arbitration agreement above, either party retains the right to seek urgent interim or injunctive relief from any court of competent jurisdiction to prevent irreparable harm pending the constitution of the arbitral tribunal or during arbitral proceedings. Seeking such interim relief shall not be construed as a waiver of the right to arbitrate.

15.4  Jurisdiction for Court Proceedings

Subject to the arbitration clause above, and for the purposes of any interim relief or enforcement of an arbitral award, each party irrevocably submits to the exclusive jurisdiction of the courts at Pune, Maharashtra, India.

16.  Amendments to these Terms

EFC reserves the right to amend, update, or revise these Terms at any time at its sole discretion. Revised Terms will be posted on the Platforms with an updated effective date. We will provide reasonable advance notice of material changes through a prominent notice on the relevant Platform or, where appropriate, by direct communication.

Your continued access to or use of any Platform after the updated effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platforms immediately.

17.  General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other policies, guidelines, or notices published on the Platforms and incorporated by reference, constitute the entire agreement between you and EFC with respect to your access to and use of the Platforms, and supersede all prior agreements, representations, or understandings on the same subject matter.
  • Severability: If any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be invalid, unlawful, void, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable and the remaining provisions shall continue in full force and effect unaffected.
  • Waiver: No failure or delay by EFC in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude its future exercise or the exercise of any other right, power, or remedy.
  • Assignment: You may not assign, transfer, sub-licence, or otherwise deal with any of your rights or obligations under these Terms without the prior written consent of EFC. EFC may assign or transfer these Terms, in whole or in part, to any EFC Group entity, or to any successor entity in connection with a merger, acquisition, restructuring, or transfer of business, without your consent.
  • No Partnership or Agency: Nothing in these Terms creates or shall be construed as creating any partnership, joint venture, agency, franchise, or employment relationship between you and EFC.
  • Notices: Any formal legal notice to EFC under these Terms shall be in writing and delivered to EFC’s registered office by hand, registered post, or email (confirmed by registered post). Electronic communication through the Platforms does not constitute formal legal notice unless EFC expressly confirms otherwise.
  • Language: These Terms are published in English. In the event of any inconsistency or conflict between the English version and any translation into another language, the English version shall prevail.
  • Headings: Clause headings are for ease of reference only and shall not affect the interpretation of these Terms.
